1. Acceptance of Terms

By accessing or using Learnbase (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

You must be at least 18 years old to create an academy account. Academy owners are responsible for ensuring their students meet any age requirements they establish.

2. Service Description

Learnbase is a B2B SaaS platform that enables businesses and individuals to create and manage online academies. Our Service includes:

Creation and customization of online academies
Course creation, hosting, and delivery
Student enrollment and learning management
Certificate generation and verification
Payment processing via Stripe Connect Express
AI-powered content assistance and generation

3. Account Registration & Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Academy Owner: Full tenant management, billing responsibility, and legal compliance for students

4. Subscription Plans & Billing

Learnbase offers subscription plans billed monthly via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

Available Plans

Starter: $49/month - 5% commission
Growth: $99/month - 2% commission
Scale: $349/month - 0% commission

Subscriptions automatically renew unless cancelled before the end of the billing period. You may cancel at any time through your dashboard.

We offer a 14-day no-questions-asked refund policy for subscription payments. To request a refund, contact us at [email protected] within 14 days of your payment.

5. Course Sales & Stripe Connect

Academy owners can connect their Stripe Express account to accept payments for courses. Learnbase acts as a facilitator and charges a platform commission based on your subscription plan.

As an academy owner using Stripe Connect, you are an independent merchant responsible for your pricing, taxes, customer service, and compliance with applicable laws.

Refund policies for course purchases are determined by each individual academy. Learnbase is not responsible for refunds on course purchases made through academies on our platform.

6. Intellectual Property

Learnbase and its licensors own all rights, title, and interest in the Service, including all intellectual property rights (code, design, trademarks, etc.).

You retain ownership of all content you create and upload to the Service (courses, videos, documents, etc.).

By uploading content, you grant Learnbase a non-exclusive, worldwide license to host, store, and deliver your content solely for the purpose of providing the Service. This license terminates when you delete your content or account.

7. Acceptable Use Policy

You agree not to use the Service for any unlawful purpose or in violation of these Terms. Prohibited activities include:

Engaging in illegal activities or promoting illegal content
Infringing on intellectual property rights (DMCA process available)
Harassment, hate speech, discrimination, or bullying
Distributing malware, spam, or phishing content
Misusing AI features to generate harmful, deceptive, or inappropriate content

8. AI Features

Learnbase provides AI-powered features including video transcription, content generation, and quiz creation. These features are provided as assistance tools and are not guaranteed to be accurate.

AI processing is performed by third-party providers including Groq, Google (Gemini), OpenAI, and Anthropic. By using AI features, you consent to your data being processed by these providers.

You are solely responsible for reviewing, editing, and approving any AI-generated content before publishing it on your academy.

9. Certificates

Certificates are issued upon course completion and include a unique verification code. Certificates are non-transferable and represent completion of the specific course.

Certificate records are maintained permanently to ensure verification integrity. The student's name is locked at the time of issuance and cannot be changed.

10. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which can be found at Privacy Policy.

For academy owners: You act as the data controller for your students' personal data. Learnbase acts as a data processor on your behalf.

A Data Processing Agreement (DPA) is available upon request for enterprise customers.

11. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEARNBASE'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

LEARNBASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

12. Indemnification

You agree to indemnify and hold harmless Learnbase, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) your violation of these Terms; (b) your content uploaded to the Service; (c) your violation of any third-party rights; (d) for academy owners, any claims related to your handling of student data.

13. Termination

You may cancel your account at any time through your dashboard. Cancellation takes effect at the end of your current billing period.

We may suspend or terminate your account for violation of these Terms, with notice when reasonably possible. In cases of serious violations, we may terminate immediately.

Upon termination, your access to the Service will be revoked. Your data will be retained according to our Privacy Policy. Certificates issued through your academy will remain verifiable.

14. Dispute Resolution

These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict of law principles.

Before filing a formal dispute, you agree to first contact us at [email protected] to attempt informal resolution. We will work in good faith to resolve any issues within 30 days.

Any disputes not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
